Software Licence Agreement - Modax Support Suite

1. Parties

This agreement is between you and the applicable Modax entity: Modax Consulting Inc. (Canada), Modax Consulting LLC (USA), Modax Consulting Ltd. (UK) (collectively, "Modax" or "we," "our," or "us").

2. Licence Grant

Subject to your compliance with these terms and payment of applicable fees, Modax Consulting grants you a limited, non-exclusive, non-transferable licence to access and use Modax Support Suite as a hosted service.

3. Restrictions

You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the service. You may not sublicense, resell, or redistribute the service except as expressly permitted.

4. Intellectual Property

Modax Consulting retains all rights, title, and interest in and to the service, including all intellectual property rights. This agreement does not grant you any rights to Modax trademarks or logos.

5. Termination

We may suspend or terminate your access if you breach these terms. Upon termination, your right to use the service ceases immediately.

6. Jurisdiction

Depending on your location and the entity with which you contract, the laws of Canada, the applicable US state, or the United Kingdom may govern this agreement. We comply with applicable local laws in each jurisdiction.
